JC Flowers was aware of the process for restructuring the Spanish financial system that started with the 2008 crisis. Taking advantage of this, they acquired various nationalized entities that were in the hands of the Fund for Orderly Bank Restructuring (FROB). All this process was led by the Andorran government through the Andorran State Agency for Resolution of Banking Institutions (AREB) and the Andorran National Institute of Finance (INAF), guided by the firm Key Capital Partners, who created a non-transparent structure to expropriate the original shareholders. In other words, they conspired against the shareholders to steal their bank from them.

Moreover, the regulating Andorran authority never revealed why they supported the expropriation of a successful and highly creditworthy financial institution, worth over 500 million euros, instead of a more reasonable restructuring alternative to assess and eventually correct any weaknesses in the anti-money laundering control process.

In an effort to fight back, the Cierco brothers, shareholders of the intervened bank, sued the Andorran Government to claim 365 million euros by way of compensation, stating that Andorra omitted the risks that the suspicions of money laundering represented – suspicions manifested by the American Department of Treasury, led by the FinCEN.

To better understand this mega fraud, it is important to know how a “vulture fund” operates. Its modus operandi simply consists in buying public debts or companies on the verge of bankruptcy at 20%, 30% of their total nominal value, to then gain enormous profits through usurious procedures.

As globally social predators, the name is a metaphor that compares these investors to vultures patiently overflying, waiting to fly towards the rests of weak companies or indebted countries. This is what JC Flowers does. Just like with the Andorran case, they usually bet on “patients” with high recovery chances, namely, States or businesses that are likely to bring their finances back into line and salvage an act of bankruptcy.

In other words, through financial speculations, this “vulture fund” buys debt securities from countries in disgrace at a bargain price, and then litigates in international jurisdictions to claim the total value of those bonds. This, with total disregards to the New York legislation, which states it is illegal to buy a debt with the purpose of litigating against it. So far, one way or another, JC Flowers has been able to evade the sentence established by the standard rules.

Furthermore, it is important to note that the States that are affected by the vulture funds, reduce their budget destined to promote and guarantee economic, social and cultural rights. In so doing, the main affected sector is the population exposed to socially vulnerable scenarios, such as those who suffer from poverty.

This situation has negative consequences. Namely, a drop in foreign capital investments, the ceasing of funding for public work mega structures financed by foreign loans, and the drop in the value of bonds issued by the Debtor State, among others.

In this regard, the provisions within the International Covenant on Economic, Social and Cultural Rights, its Optional Protocol and its Committee’s General Observations, should be specially taken into consideration in the analysis and conflict resolution between Debtor States and their creditors, should these rights be affected. Such is the case of JC Flowers, who was suspiciously chosen by the AREB to manage the assets of the extinct BPA, by buying the “good” funds of Vall Blanc.

Conocedor del proceso de reestructuración del sistema financiero español que se abrió con la crisis en 2008, JC Flowers aprovechó para acudir a la compra de distintas entidades nacionalizadas y en manos del Fondo de Reestructuración Ordenada Bancaria (FROB). Todo este proceso estuvo dirigido por el Gobierno andorrano a través de la Agencia Estatal de Resolución de Entidades Bancarias (AREB) y el Instituto Nacional Andorrano de las Finanzas (INAF), bajo la asesoría de la firma Key Capital Partners, quienes crearon una estructura no transparente para expropiar a los accionistas originales, es decir, se confabularon para robarles su banco.

A esto se suma que el regulador andorrano nunca reveló por qué respaldó la expropiación de una institución financiera exitosa y altamente solvente, que tenía un valor de más de 500 millones de euros, y no optó por una reestructuración más razonable para evaluar y eventualmente corregir cualquier debilidad en los controles anti lavado de dinero.

En su lucha, los hermanos Cierco, accionistas del banco intervenido, demandaron al Gobierno de Andorra para reclamar 365 millones de euros por concepto de indemnización, bajo el precepto que Andorra omitió los riesgos que suponían las sospechas de blanqueo de capitales manifestadas por el Departamento del Tesoro estadounidense, encabezado por FinCEN.

Para entender mejor este mega fraude, hay que conocer cómo opera un “fondo buitre”; su modus operandi consiste simplemente en comprar en el mercado deuda pública o empresas al borde de la quiebra, normalmente al 20% ó al 30% de su valor nominal, y luego especulan con la obtención de ganancias exorbitantes mediante procedimientos usurarios.

Como depredadores sociales globales, el nombre es una metáfora que compara a estos inversores con los buitres al sobrevolar pacientemente, esperando para lanzarse sobre los restos de una compañía que se debilite rápidamente o países endeudados, tal es la costumbre de JC Flowers. Como en el caso de Andorra, suelen apostar a “pacientes” con alta probabilidad de rehabilitación, es decir, a Estados o empresas que tienen posibilidad de regularizar sus finanzas y salvar una cesación de pagos.

En otras palabras, mediante la especulación financiera, este “fondo buitre” compra títulos de deuda de los países en desgracia a precio basura para luego pleitear en los fueros internacionales e intentar cobrar la totalidad del valor de esos bonos, sin importar que violenta la legislación de Nueva York, que estipula es ilícito comprar deuda con el propósito de litigar contra ella; hasta ahora, de un modo u otro, JC Flowers ha logrado evadir la condena prevista en la norma.

Asimismo, cabe destacar que los Estados afectados por los fondos buitres, para hacer frente a sus obligaciones, en general, disminuyen su presupuesto destinado a promover y garantizar los derechos económicos, sociales y culturales. De ese modo, se ven principalmente perjudicados sectores de la población expuestos a situaciones de vulnerabilidad social, como son aquellos que se encuentran inmersos en la pobreza.

Esta situación reviste consecuencias negativas. Entre otras, la caída de las inversiones de capitales extranjeros en el país; el desfinanciamiento de mega estructuras de obra pública realizadas con préstamos foráneos y la caída de los precios de los bonos emitidos por el Estado deudor.

En este sentido, deberían considerarse muy especialmente las disposiciones del Pacto Internacional de Derechos Económicos, Sociales y Culturales, su Protocolo Facultativo y las Observaciones Generales de su Comité, en el análisis y resolución de conflictos entre Estados deudores y sus acreedores cuando resulte plausible la afectación de esos derechos, como es el caso de JC Flowers, elegido sospechosamente por la AREB, para administrar los activos de la extinta BPA, al comprar los fondos “buenos” de Vall Banc.
