More than two years after the fateful 10 March 2015, many unknowns remain to be solved, and the special commission is still far from issuing assertive conclusions about what happened and what needs to be done so that this black episode does not repeat itself. While clients and employees pay a high cost for the farces and inadequacies of the Government of Andorra to resolve this crisis.

The pit continues to deepen; as from first of January the “non-regularised” clients of Vall Banc cannot withdraw any money in cash, they can only dispose of their deposits using financial instruments such as transfer or checks. The “healthy” bank entity has limited the rest of clients to cash withdrawals of 250 thousand euros annually.

What is certain is that the measure taken by Vall Banc with the connivance of the administrative bodies of the Principality – AREB and INAF – aims at making any withdrawal of deposits harder and in this way retain the money of foreign clients that found themselves in the midst of the BPA crisis. Insofar that the provision for the “non-regularised” to not access cash seems as a measure to hinder the outflow of capital due to the large amounts of money that are exiting Vall Banc, as the ‘corralito’ imposed to the clients transferred from the intervened bank is without effect.

In the former bank, there are still a thousand of clients retained, most of whom, as is now known, have nothing to do with illicit practices. Even so, AREB maintains the absolute blocking of those clients, who since May of last year have not been able to retrieve a single euro.

Then it cannot be ruled out that the transfer of clients coincide with the expiration of the ‘corralito’ that was established ‘de facto’ on the first clients of the new bank coming from the defunct BPA. However, as of yet everything is still in uncertainty; the managers do not know what to tell the clients – who have had to provide two and three times the same documentation to prove the legality of their capital – when they are asked.

Negligently the executives of Vall Banc never tire of upbraid that the transfer is not ruled by them. While AREB, which is the body that formally has to make the decision, has absolved itself completely, despite the fact that the responsible of PricewaterhouseCoopers (PwC) already made the analysis of accounts and clients, for which in their opinion and criterion, they have already communicated their decisions. The Last Word belongs to AREB, which if opens more the tap, Vall Banc will take little in running out of euros.

At the end who are taking the hit, are the thousands of savers who trusted their capitals to BPA, and which have begun to claim compensations.

The experts on financial legislation had already warned about the following since August 2015: the Law of urgent measures for the restructuring or resolution of banking institutions, popularly known as the “BPA law”, should not contemplate the direct sale of the bridge bank; in other words Vall Banc should not juridical become a regular bank so that an acquisition of this entity could be made by a third party – as was the case with the vulture fund J.C. Flowers on the 14 July 2016. Contrary to what AREB had been trumpeting as a healthy manoeuvre and that has led to the total international discredit of the Andorran banking.

In the analysis, the Andorran authorities acted arbitrarily when not including a mechanism for a direct transformation of a bridge bank to a normal bank; on the contrary, they opted for the indirect route of the liquidation: the sale of assets and liabilities. The first negative impact was the fact that the ex-workers of BPA were the subject of new recruitment by whom purchased Vall Banc, which did not guarantee the working conditions of the employees, by failing to respect their positions and antiquity in the former bank.

The former Chief Executive Officer of Banca Privada d’Andorra and Banco Madrid, Joan Pau Miquel, had also alerted, by accusing the Andorran Government of intervening the entity “for State reason” and “without legal and technical means”, concluding the complaint presented at the time by the EU anti-money laundering agency, and described the Andorran performance as politicized and amateurish.

Más de dos años después del fatídico 10 de marzo de 2015, quedan muchas incógnitas por resolver y la comisión especial está lejos aún de emitir conclusiones asertivas sobre lo que pasó y lo que hay que hacer para que no vuelva a repetirse este negro episodio, mientras clientes y trabajadores pagan un alto coste por las farsas e ineptitudes del Gobierno de Andorra para resolver esta crisis.

El hoyo sigue profundizándose; a partir del 1 de enero los clientes de Vall Banc “no regularizados” no pueden retirar dinero en efectivo, sólo pueden disponer de sus depósitos a través de instrumentos financieros como transferencia o cheques. La entidad bancaria “sana” ha limitado para el resto de clientes las retiradas de efectivo a 250 mil euros anuales.

Lo cierto es que la medida adoptada por Vall Banc con la connivencia de los órganos administrativos del Principado – AREB e INAF – está encaminada a dificultar cualquier retirada de depósitos y de esta forma retener el dinero de clientes extranjeros que se encontraron en medio de la crisis de BPA. En tanto la disposición para que los “no regularizados” no puedan acceder a efectivo, parece una medida para dificultar la salida de capitales debido a las grandes cantidades de dinero que están saliendo de Vall Banc, a medida que el ‘corralito’ impuesto a los clientes traspasados desde la banca intervenida está quedando sin efecto.

En la antigua banca aún quedan retenidos un millar de clientes, la mayoría de los cuales, ya se sabe ahora, no tienen relación alguna con prácticas ilícitas. Aun así, la AREB mantiene el bloqueo absoluto sobre aquellos clientes, que desde mayo del año pasado no han podido recuperar ni un solo euro.

Entonces no se puede descartar que el traspaso de clientes coincida con el vencimiento del ‘corralito’ que ‘de facto’ se estableció sobre los primeros clientes del nuevo banco procedentes de la extinta BPA. Pero a la fecha de hoy todo sigue en la incertidumbre; los gestores ya no saben qué decir a los clientes – que han tenido que aportar dos y tres veces la misma documentación para demostrar la licitud de sus capitales – cuando se les preguntan.

Negligentemente los ejecutivos de Vall Banc, no se cansan de espetar que el traspaso no va con ellos, mientras la AREB, que es el organismo que formalmente tiene que tomar la decisión, se ha desentendido por completo, a pesar de que los responsables de PricewaterhouseCoopers (PwC) ya se encargaron de hacer los análisis de cuentas y clientes, por lo que a su parecer y criterio, ya han comunicado sus decisiones. La última palabra la tiene la AREB, que si abre más el grifo, Vall Banc tardará poco en quedarse sin euros.

Al final quienes están pagando la factura, son los miles de ahorradores que confiaron sus capitales a BPA, mismos que han empezado a reclamar indemnizaciones.

Los expertos en legislación financiera ya lo habían advertido desde agosto del 2015: la Ley de medidas urgentes para la reestructuración o resolución de entidades bancarias, conocida popularmente como “Ley BPA”, no debía contemplar la venta directa del banco puente; es decir Vall Banc jurídicamente no debió transformarse en un banco ordinario para la adquisición directa que de esta entidad podría hacer un tercero – como sucedió con el fondo buitre J.C. Flowers el 14 de julio de 2016 – contrario a lo que la AREB ha ido pregonando como una maniobra sana, lo que ha llevado a la banca andorrana al desprestigio internacional total.

En el análisis, las autoridades andorranas actuaron arbitrariamente al no incluir un mecanismo de transformación directa de una entidad puente en un banco normal; contrariamente optaron por la vía indirecta de la liquidación: la venta de activos y pasivos. El primer impacto negativo fue el hecho de que los ex trabajadores de BPA fueron objeto de nueva contratación por parte de quien adquirió Vall Banc, que no garantizó las condiciones laborales de los empleados, al no respetar los cargos ni antigüedad.

El que fuera máximo responsable ejecutivo de Banca Privada d’Andorra y Banco Madrid, Joan Pau Miquel, también había alertado, al acusar al Gobierno andorrano de intervenir la entidad “por razón de Estado” y “sin medios técnicos y legales”, dando por cierta la denuncia que presentó en su momento la agencia anti blanqueo de EU, y calificó la actuación andorrana como politizada y chapucera.
