El caso de la Banca Privada d’Andorra (BPA) por enésima ocasión se ralentiza tras la suspensión de juicio de la justicia andorrana, debido a la falta de imparcialidad del Tribunal para proceder a un juicio justo, y será el Tribunal Superior el que finalmente dictamine al respecto, mientras los más perjudicados siguen siendo cientos de clientes y accionistas que quedaron atrapados en el mayor escándalo financiero acaecido jamás en Andorra.

Sin que hasta el momento haya un responsable de este grave quebranto, al seguir debatiéndose si fueron los antiguos gestores del banco o el Gobierno que preside Antoni Martí, a casi cuatro años después de aquél fatídico 10 de marzo del 2015, hoy se tiene la certeza que se trató de una conspiración del imperialismo americano con ayuda de políticos y policías corruptos, traidores a su patria.

La coincidencia en esta historia de engaños y corrupción, que ocasionó la sentencia de muerte de BPA, es la gran incompetencia burocrática, falta de transparencia y encubrimiento de las autoridades financieras andorranas, entre ellas la Agencia Estatal de Resolución de Entidades Bancarias (AREB), encabezada por Albert Hinojosa Besolí, y la Unidad de Inteligencia Financiera de Andorra (UIFAND), encabezado por Carles Fiñana. A esto se suma el desaseado proceso de auditoría que realizó la firma PricewaterhouseCoopers(PwC), por la cual cobró una suma millonaria, en perjuicio de más de 2 mil clientes.

Para entender el proceso de resolución deficiente y plagado de irregularidades, habría que repasar algunos antecedentes. Al crear la AREB a Vall Banc, un banco para aglutinar los activos y pasivos de BPA considerados legítimos, esta entidad dejó atrapados en el “banco malo” a miles de clientes, quienes sufrieron todas las pérdidas del proceso de liquidación.

Mediante una amañada inversión de fondos la AREB pasó a ser propietaria del cien por ciento de ambos bancos. Para iniciar la actividad bancaria de Vall Banc, la AREB decidió sacarse de la chistera unos papeles llamados CoCos (Bonos Convertibles Contingentes) y así poder comprar los activos legítimos de BPA, sin poner ni un euro sobre la mesa.

Lamentablemente los CoCos, a la postre afectaron la rentabilidad de Vall Banc y por tanto a su valor real. Vall Banc le ofrece a BPA los CoCos por 70 millones de euros, y en contrapartida transfiere un importante paquete de activos valorados por la AREB en 70 millones de euros, sin embargo, trascendió que los activos cedidos por BPA tenían un valor de 96 millones de euros.

Mientras expertos independientes, al comparar estos CoCos con otros emitidos por terceras entidades, dan a éstos un valor real de 15 millones de euros, es decir el valor de los activos entregados resultó ser mayor, mientras el valor de los CoCos recibidos menor. Después de esta perversa operación, Vall Banc fue vendido al fondo buitre JC Flowers, en esa misma ridícula cantidad, y no en 29 millones de euros como se dio a conocer de manera oficial, consumándose así el trasvase de más de 80 millones de euros, bajo tutela del corrupto estado andorrano, a manos privadas.

Al ser las dos entidades propiedad de la AREB, quedó consumado el gran negocio de “Juan Palomo, yo me lo guiso, yo me lo como”, en un condenable hecho que se ganó el repudio de muchos sectores por la sucia actuación de las entidades reguladoras. Lo cierto es que Andorra dejó pasar el tiempo sin hacer nada para afrontar una crisis de su sistema bancario que podría haberse evitado, y que al final provocó la total desconfianza en los organismos de control, debido a que la nota de la Unidad de Inteligencia Financiera (FinCEN) solamente fue para utilizar al banco más pequeño de Andorra, como escarmiento para el sistema bancario del Principado.

The Andorran Private Banking (BPA) case is once more, for the umpteenth time slowed down following the suspension of the trial within the Andorran justice system. This is due to the lack of impartiality at the Court, needed to carry on with a fair trial and it will be the Higher Court the one who will rule in the end, while the most affected amount to hundreds of clients and shareholders who got trapped in the greatest financial scandal ever to have happened in Andorra.

Up to this point, nobody has been held accountable for this serious matter; the debate continues, whether the former bank managers are responsible for it, or the Government presided by Antoni Martí. Almost four years after that dark 10th of March 2015, today we know that it was all a conspiracy from the American imperialism with the help of corrupt politicians and policemen, traitors of the mother country.

The coincidence within all the deceptions and corruption, which caused BPA’s death, is the great bureaucratic incompetence, lack of transparency and cover-up by the financial Andorran authorities, among them the State Agency for Resolution of Banking Institutions (AREB), led by Albert Hinojosa Besolí, and the Andorran Unit of Financial Intelligence (UIFAND), led by Carles Fiñana.Furthermore, there is also the unclean audit process performed by PricewaterhouseCoopers (PwC), for which they charged a millionaire amount of money, affecting more than 2 thousand clients.

In order to understand the deficient resolution process, plagued with irregularities, the revision of some background would be necessary.When the AREB created Vall Banc, a bank to gather BPA’s assets and liabilities considered legal, this entity left a thousand clients trapped in the “bad bank”, who suffered the losses of the liquidation process entirely.

Though a rigged investment of funds, the AREB became the sole owner of both banks.To start the bank operations at Vall Banc, the AREB decided to pull the rabbit out of the hat, presenting some papers called CoCos (Contingent Convertible Bonds) allowing them to buy BPA’s legal assets, without paying a single euro.

Unfortunately for CoCos, the ended up affecting Vall Banc’s profitability and hence, its real value.Vall Banc offered the CoCos to the BPA for 70 million euros, and in return transfers a considerable asset package valued at 70 million euros by the AREB. However, it was learnt that the assets handed over by the BPA were actually valued at 96 million euros.

In the meantime, independent experts, when comparing these CoCos to others issued by third parties, gave them a real value of 15 million euros; in other words, the value of the assets delivered ended up being higher, whereas the value of the received CoCos, lower.After this perverse transaction, Vall Banc was sold to the vulture fund JC Flowers, for that ridiculous amount, and not for 29 million euros as it was made known officially, culminating in that way in a transfer of more than 80 million euros, under the supervision of the corrupt Andorran state, to the private sphere.

Being these two entities owned by the AREB, they ran the entire business by themselves, resulting in a condemnable event which earned the rejection of many sectors due to the nasty way the regulatory entities acted.The truth is that Andorra just let the time pass by without lifting a finger to face a crisis in its bank system which could have been avoided, ultimately causing a total mistrust within the control bodies, considering that the letter issued by the Financial Intelligence Unit (FinCEN) was nothing but a means to use Andorra’s smallest bank as punishment for the Principality’s bank system.
